1st Informative Members Meeting on 5 November 2024

Dear Members,

Following yesterday’s first informative Members Meeting to prepare for the General Assembly on 12 December, we would like to invite you to send us your comments and questions on the presented proposal regarding the relocation of EUBP, which consists of setting up an association in Brussels under Belgium law (EUBP AISBL) to take over the non-commercial activities, i.e., advocacy and knowledge pooling (covering all issues currently managed by the Working Group Sustainability and Environmental Affairs (WG SEA) and its subsidiary Task Forces (TFs) and communication activities), while the German association (EUBP e.V.) will remain in Berlin and cover mainly the commercial activities, i.e., the annual European Bioplastics Conference (EBC), the management of the “Seedling”-logo, and the running EU-funded projects.

The presentation by the two law firms engaged to provide legal and financial (tax implications) support during this transformation process, EY Law (Belgium) and Taylor Wessing (Germany) is included as well as the recording of this meeting for those of you that have not been able to attend.

The set-up of a new legal entity in Belgium (EUBP AISBL), which has been the main focus of the presented proposal, requires the drafting of Statutes, which we will submit for your approval at the upcoming General Assembly on 12 December 2024, after taking your comments and questions on board. A draft set of the Statutes is enclosed for commenting.

The adoption of the proposal to set up an association in Brussels (EUBP AISBL) will be legally and financially linked to the existing association in Berlin, which will provide services for the newly established Belgian association (EUBP AISBL). This requires the adaptation of the existing Statutes of EUBP e.V.. A draft of the revised Statutes of EUBP e.V. is also included for commenting. For convenience, the current Statutes of EUBP e.V. are included as well to allow for comparison.

In order to collect and compile your questions and comments to both the new draft Statutes for EUBP AISBL and the draft revision of the Statutes of EUBP e.V., we ask you to insert your comments and questions in the enclosed templates – a separate one for each of the Statutes.

We kindly ask you to send in the templates with your comments at your earliest possible convenience but no later than Wednesday, 13 November, COB.

The compilation of your questions and comments will serve as the basis for the second informative Members Meeting scheduled for 25 November 2024, starting again at 12:00 p.m., where we will try to answer all the questions you raised with the help of the two law firms. A final version of the Statutes revision will be drafted based on your comments and then submitted as resolutions to be voted at the General Assembly in Berlin.

Please make sure to reserve the spot in your calendar for this upcoming Members Meeting on 25 November and, even more important, to register for the official General Assembly on 12 December 2024 to allow for the necessary quorum to be able to vote on the three resolutions:  on the new Belgian Statutes, on the revised German Statutes, and on the move to Brussels following the option we proposed.
